Terms of Service

1. Acceptance of Terms

By accessing or using VenueMagnet ("the Site" or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use VenueMagnet. By using the Service, you represent that you have the legal authority to enter into this agreement.

3. Modification of Terms

VenueMagnet may modify these Terms at any time. Changes become effective upon posting. Continued use of the Service constitutes acceptance of the updated Terms.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of unauthorized account use.
• We may suspend or terminate accounts at our discretion.

5. User Content, Claimed Listings & Conduct

• You are solely responsible for content you upload, submit, or post.
• Unlawful, abusive, deceptive, or fraudulent use is prohibited.
• VenueMagnet may remove content or restrict access at its sole discretion.

5.1 Claimed Listing Content and Photos

If you claim, manage, verify, approve, edit, or otherwise take control of a listing, you represent and warrant that you are the owner, authorized representative, manager, agent, or other person with legal authority to act for that venue and to approve the listing content associated with it.

• By claiming or managing a listing, you expressly approve the listing content then displayed on the Service, including photographs, images, descriptions, names, logos, floor plans, videos, and other materials, whether uploaded by you, provided by you, previously added to the listing, imported, supplied by a third party, or otherwise made available in connection with the listing.
• You represent and warrant that you own, control, license, or otherwise have all rights, permissions, releases, and authorizations necessary for VenueMagnet to host, store, reproduce, display, crop, resize, adapt, distribute, index, promote, and otherwise use the listing content in connection with the Service, search results, listing pages, emails, social media, advertising, marketing, and related promotional materials.
• This authorization includes, without limitation, any copyrighted photos or images appearing on or associated with the claimed listing. You are solely responsible for confirming that any photographer, agency, venue owner, brand, employee, guest, or other third party whose rights may be involved has granted permission for the content to be used on VenueMagnet.
• You grant VenueMagnet a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, display, distribute, modify, crop, resize, create derivative formatting from, and promote the listing content for purposes of operating, improving, marketing, and promoting the Service and the venue listing.
• VenueMagnet may rely on your representations and has no obligation to independently verify ownership, copyright status, model releases, property releases, trademark rights, photographer permissions, or other third-party rights in listing content. VenueMagnet may remove, disable, replace, or refuse to display any content at any time, but doing so does not waive any rights or remedies.
• If any claim, demand, takedown notice, dispute, allegation, or legal action arises from photos or other content associated with a listing you claimed or managed, you agree that you, and not VenueMagnet, are responsible for that content and for resolving the claim.

6. Marketplace Role & Platform Disclaimer

• VenueMagnet is a neutral online marketplace connecting hosts and guests.
• We do not own, operate, inspect, or control any listed property.
• We are not a party to any agreement between users.
• Users are solely responsible for their interactions, agreements, and conduct.

7. Listings, Booking Requests, and Payments

7.1 Listings and Host Responsibilities

• All listing details, availability, pricing, rules, and requirements are set by the host.
• Hosts are responsible for keeping their availability and pricing accurate.
• Hosts are responsible for communicating venue rules, access instructions, and any required deposits or documentation.

7.2 Booking Requests

• Guests may submit a booking request through VenueMagnet to request specific dates and times.
• A booking request is not a confirmed booking until it is accepted by the host.
• Hosts may accept, decline, or send a modified offer through VenueMagnet.

7.3 Venue Rental Payments Are Handled Directly With the Host

• VenueMagnet does not collect the venue rental price, security deposits, or other host charges unless explicitly stated otherwise.
• After a booking request is accepted, guests and hosts are responsible for arranging all venue-related payments directly (including rental amount, deposits, and payment method).
• VenueMagnet is not responsible for payment disputes between users regarding venue rental, deposits, damages, add-ons, or additional charges.

7.4 Reservation Fee (Platform Fee)

VenueMagnet charges guests a Reservation Fee (also referred to as a "platform fee") for processing and managing booking requests through the Service.

• The Reservation Fee amount is shown to the guest before submitting payment.
• The guest’s payment method may be collected in advance, but the Reservation Fee is only charged when the host accepts the booking request.
• If the booking request is declined, expires, or is withdrawn before acceptance, the guest is not charged the Reservation Fee.
• The Reservation Fee is separate from any venue rental charges and is not a security deposit, damage deposit, or credit toward the venue rental amount unless VenueMagnet explicitly states otherwise.

7.5 Payment Processing

• Payments may be processed through third-party payment processors.
• VenueMagnet does not store full payment card details.
• You agree that VenueMagnet and its payment processors may store limited transaction data for fraud prevention, receipts, and support.

7.6 Off-Platform Transactions

• Users agree not to misuse VenueMagnet to bypass the platform after receiving contact details or booking intent through the Service.
• VenueMagnet may restrict accounts for attempts to avoid platform processes, interfere with platform operations, or engage in abusive conduct.

8. Refunds, Cancellations, and Reservation Fee Rules

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference.

8.1 Reservation Fee Refundability

Unless otherwise required by law or explicitly stated in the Refund Policy:

• The Reservation Fee is generally non-refundable once the host accepts a booking request, because it covers platform services and processing costs.
• If a booking request is not accepted (declined, expired, or withdrawn before acceptance), the guest is not charged the Reservation Fee.

8.2 Host Cancellations or Venue Unavailability

• If a host cancels after accepting, or the venue is not available as confirmed, VenueMagnet may refund the Reservation Fee as described in the Refund Policy.
• Venue rental payments made directly to the host are handled between the host and guest, and VenueMagnet is not responsible for those refunds unless explicitly stated in writing.

8.3 Disputes and Chargebacks

• If a guest initiates a chargeback or dispute relating to the Reservation Fee, VenueMagnet may suspend the account while the dispute is investigated.
• Guests and hosts agree to communicate in-platform and provide accurate details if VenueMagnet requests documentation related to a dispute.

9. Host Access & Availability

Hosts are responsible for providing accurate access instructions and ensuring availability during the booked time. VenueMagnet is not responsible for host unavailability, access failures, or property conditions.

10. Safety, Property Conditions, and Assumption of Risk

VenueMagnet does not guarantee the safety, legality, or condition of any listing. Guests assume all risks associated with use of a venue.

11. Natural Disasters & Force Majeure

VenueMagnet is not responsible for delays, cancellations, or damages caused by events beyond reasonable control, including natural disasters, severe weather, fires, floods, earthquakes, government orders, or infrastructure failures.

12. No Insurance Provided

VenueMagnet does not provide insurance coverage for hosts or guests. Users are responsible for obtaining any necessary insurance.

13. Prohibited Activities

• Illegal, deceptive, or abusive conduct
• Scraping, reverse engineering, or unauthorized data use
• Interference with site operations
• Impersonation or misrepresentation

14. Intellectual Property

• All Site content and trademarks are owned by VenueMagnet or licensors.
• No copying or redistribution without written consent.
• You retain any ownership rights you have in content you submit or approve, but you grant VenueMagnet the rights and licenses described in these Terms so we can operate, display, promote, and market listings on the Service.
• VenueMagnet respects intellectual property rights and may remove or disable access to content in response to copyright, trademark, or other rights complaints.

15. Disclaimers & Limitation of Liability

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
• VenueMagnet is not liable for indirect, incidental, or consequential damages.
• Use of the Service is at your own risk.

16. Indemnification

You agree to indemnify, defend, and hold harmless VenueMagnet, its owners, officers, employees, contractors, service providers, affiliates, successors, and assigns from and against any claims, demands, damages, liabilities, losses, costs, expenses, and attorneys' fees arising out of or relating to your use of the Service, your listing content, your claimed or managed listings, your violation of these Terms, your violation of law, your misrepresentation of authority, or any allegation that content associated with a listing you claimed, managed, approved, supplied, or controlled infringes or violates any copyright, trademark, publicity, privacy, property, contractual, or other third-party right.

17. Termination

VenueMagnet may suspend or terminate access at any time without notice.

18. Dispute Resolution

• Disputes will be resolved through binding arbitration or small claims court.
• Class actions are waived.

19. Severability

If any provision is unenforceable, remaining provisions remain in effect.
