Terms of Service

1. Acceptance of Terms

By accessing or using VenueMagnet ("the Site" or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use VenueMagnet. By using the Service, you represent that you have the legal authority to enter into this agreement.

3. Modification of Terms

VenueMagnet may modify these Terms at any time. Changes become effective upon posting. Continued use of the Service constitutes acceptance of the updated Terms.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of unauthorized account use.
• We may suspend or terminate accounts at our discretion.

5. User Content, Claimed Listings & Conduct

• You are solely responsible for content you upload, submit, or post.
• Unlawful, abusive, deceptive, or fraudulent use is prohibited.
• VenueMagnet may remove content or restrict access at its sole discretion.

5.1 Claimed Listing Content and Photos

If you claim, manage, verify, approve, edit, or otherwise take control of a listing, you represent and warrant that you are the owner, authorized representative, manager, agent, or other person with legal authority to act for that venue and to approve the listing content associated with it.

• By claiming or managing a listing, you expressly approve the listing content then displayed on the Service, including photographs, images, descriptions, names, logos, floor plans, videos, and other materials, whether uploaded by you, provided by you, previously added to the listing, imported, supplied by a third party, or otherwise made available in connection with the listing.
• You represent and warrant that you own, control, license, or otherwise have all rights, permissions, releases, and authorizations necessary for VenueMagnet to host, store, reproduce, display, crop, resize, adapt, distribute, index, promote, and otherwise use the listing content in connection with the Service, search results, listing pages, emails, social media, advertising, marketing, and related promotional materials.
• This authorization includes, without limitation, any copyrighted photos or images appearing on or associated with the claimed listing. You are solely responsible for confirming that any photographer, agency, venue owner, brand, employee, guest, or other third party whose rights may be involved has granted permission for the content to be used on VenueMagnet.
• You grant VenueMagnet a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, display, distribute, modify, crop, resize, create derivative formatting from, and promote the listing content for purposes of operating, improving, marketing, and promoting the Service and the venue listing.
• VenueMagnet may rely on your representations and has no obligation to independently verify ownership, copyright status, model releases, property releases, trademark rights, photographer permissions, or other third-party rights in listing content. VenueMagnet may remove, disable, replace, or refuse to display any content at any time, but doing so does not waive any rights or remedies.
• If any claim, demand, takedown notice, dispute, allegation, or legal action arises from photos or other content associated with a listing you claimed or managed, you agree that you, and not VenueMagnet, are responsible for that content and for resolving the claim.

6. Marketplace Role & Platform Disclaimer

VenueMagnet provides an online marketplace where venue hosts and prospective guests can discover venues, communicate, and arrange bookings. VenueMagnet does not own, lease, operate, manage, maintain, inspect, supervise, or control listed venues or activities conducted at them.

Unless VenueMagnet expressly agrees otherwise in writing, the agreement for use of a venue is directly between the host and guest. Hosts are responsible for their properties and listings. Guests are responsible for their activities and use of the venue.

VenueMagnet does not act as a real estate broker, property manager, event operator, security provider, insurance company, insurance broker, employer, partner, joint venturer, or agent of a host or guest.

VenueMagnet does not control or guarantee the conduct, identity, reliability, or suitability of hosts, guests, attendees, invitees, vendors, caterers, photographers, production crews, security personnel, contractors, property managers, or other third parties. An account or listing does not constitute an endorsement or guarantee. Users should exercise reasonable judgment and confirm information important to their booking.

7. Listings, Booking Requests, and Payments

7.1 Listing Information & Accuracy

Hosts are responsible for the accuracy of listings they claim or manage, including descriptions, photographs, pricing, availability, capacity, amenities, restrictions, and booking requirements. Hosts must keep material information current and communicate venue rules, access instructions, and required documentation before a guest commits to a booking.

Some profiles may be created using publicly available information before being claimed by an owner or authorized representative. An unclaimed profile does not establish that the venue owner has approved the profile or agreed to accept bookings.

VenueMagnet seeks to provide useful information but does not guarantee that listing information is complete, current, or error-free. Guests should confirm pricing, availability, permitted activities, capacity, accessibility, insurance requirements, and other material details directly with the host or venue before relying on them.

7.2 Booking Requests

• Guests may submit a booking request through VenueMagnet to request specific dates and times.
• A booking request is not a confirmed booking until it is accepted by the host.
• Hosts may accept, decline, or send a modified offer through VenueMagnet.

7.3 Venue Rental Payments Are Handled Directly With the Host

• VenueMagnet does not collect the venue rental price, security deposits, or other host charges unless explicitly stated otherwise.
• After a booking request is accepted, guests and hosts are responsible for arranging all venue-related payments directly (including rental amount, deposits, and payment method).
• VenueMagnet is not responsible for payment disputes between users regarding venue rental, deposits, damages, add-ons, or additional charges.

7.4 Reservation Fee (Platform Fee)

VenueMagnet charges guests a Reservation Fee (also referred to as a "platform fee") for processing and managing booking requests through the Service.

• The Reservation Fee amount is shown to the guest before submitting payment.
• The guest’s payment method may be collected in advance, but the Reservation Fee is only charged when the host accepts the booking request.
• If the booking request is declined, expires, or is withdrawn before acceptance, the guest is not charged the Reservation Fee.
• The Reservation Fee is separate from any venue rental charges and is not a security deposit, damage deposit, or credit toward the venue rental amount unless VenueMagnet explicitly states otherwise.

The reservation fee compensates VenueMagnet for marketplace, reservation, and related platform services. It does not purchase insurance, damage protection, security, or venue supervision. Payment of the fee does not mean VenueMagnet assumes responsibility for a venue, an activity, injuries, property damage, or the conduct of hosts, guests, attendees, vendors, or other third parties.

7.5 Payment Processing

• Payments may be processed through third-party payment processors.
• VenueMagnet does not store full payment card details.
• You agree that VenueMagnet and its payment processors may store limited transaction data for fraud prevention, receipts, and support.

7.6 Off-Platform Transactions

• Users agree not to misuse VenueMagnet to bypass the platform after receiving contact details or booking intent through the Service.
• VenueMagnet may restrict accounts for attempts to avoid platform processes, interfere with platform operations, or engage in abusive conduct.

8. Refunds, Cancellations, and Reservation Fee Rules

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference.

8.1 Reservation Fee Refundability

Unless otherwise required by law or explicitly stated in the Refund Policy:

• The Reservation Fee is generally non-refundable once the host accepts a booking request, because it covers platform services and processing costs.
• If a booking request is not accepted (declined, expired, or withdrawn before acceptance), the guest is not charged the Reservation Fee.

8.2 Host Cancellations or Venue Unavailability

• If a host cancels after accepting, or the venue is not available as confirmed, VenueMagnet may refund the Reservation Fee as described in the Refund Policy.
• Venue rental payments made directly to the host are handled between the host and guest, and VenueMagnet is not responsible for those refunds unless explicitly stated in writing.

8.3 Disputes and Chargebacks

• If a guest initiates a chargeback or dispute relating to the Reservation Fee, VenueMagnet may suspend the account while the dispute is investigated.
• Guests and hosts agree to communicate in-platform and provide accurate details if VenueMagnet requests documentation related to a dispute.

9. Host & Guest Responsibilities

9.1 Host Responsibilities

Hosts must have legal authority to offer the venue and are responsible for:

• Providing materially accurate descriptions and disclosing known material hazards.
• Maintaining reasonably safe premises and addressing safety requirements applicable to the property.
• Establishing occupancy limits, permitted activities, restricted areas, and house rules.
• Reviewing proposed activities, attendance, vendors, equipment, and unusual risks before accepting a booking.
• Determining and clearly communicating insurance and Certificate of Insurance requirements before accepting a booking.
• Obtaining insurance appropriate to their hosting activities.
• Obtaining applicable permits, licenses, owner or landlord approvals, and other required authorizations.
• Complying with applicable zoning, lease, homeowners' association, fire safety, occupancy, and alcohol requirements.
• Addressing risks involving pools, spas, bodies of water, animals, stairs, equipment, and other property features.
• Providing accurate access instructions and making the venue available as agreed.
• Managing employees, contractors, and security personnel they engage.

VenueMagnet does not independently inspect venues or certify that hosts or properties comply with these requirements.

9.2 Guest Responsibilities

Guests are responsible for:

• Accurately describing the activity and expected attendance or crew size.
• Disclosing proposed vendors, alcohol, amplified sound, equipment, vehicles, animals, special effects, and unusual activities.
• Obtaining the host's agreement to material changes before proceeding.
• Following venue rules, occupancy limits, restricted-area instructions, and agreed booking times.
• Protecting the property and supervising attendees, invitees, employees, vendors, and contractors under their direction or control.
• Obtaining permits and insurance appropriate to their activities and providing a Certificate of Insurance when required by the host.
• Reporting damage promptly and leaving the venue in the agreed condition.
• Paying for damage and other amounts for which they are legally or contractually responsible.

10. Safety, Property Conditions & Assumption of Risk

10.1 Safety and Property Conditions

Hosts and guests are responsible for evaluating whether a venue and proposed activity are appropriate for their needs.

VenueMagnet does not inspect properties for structural integrity, fire safety, accessibility, code compliance, security, environmental hazards, or other physical risks. VenueMagnet does not guarantee a venue's safety, legality, condition, or suitability.

Hosts should disclose known material hazards. Guests should raise safety concerns before a booking and discontinue activities they reasonably believe are unsafe.

For emergencies or immediate threats to safety, contact emergency services first. VenueMagnet support is not an emergency response service.

10.2 Assumption of Risk

Events, productions, and use of privately operated properties may involve risks, including injury, property damage, theft, equipment loss, accidents, weather, alcohol-related incidents, and interactions with other people.

To the extent permitted by applicable law, users accept responsibility for risks arising from their own activities and activities under their direction or control. This provision does not waive rights or exclude liability that cannot lawfully be waived or excluded.

11. Natural Disasters & Force Majeure

VenueMagnet is not responsible for delays, cancellations, or damages caused by events beyond reasonable control, including natural disasters, severe weather, fires, floods, earthquakes, government orders, or infrastructure failures.

12. Insurance

Hosts and guests are responsible for determining and maintaining insurance appropriate to the property, planned activities, participants, equipment, vehicles, vendors, and other risks associated with each booking.

Homeowners, renters, commercial, property, automobile, event, production, and other policies may exclude or limit coverage for paid events, commercial activities, productions, or short-term venue rentals. Users should explain their proposed activities to a licensed insurance professional and independently confirm applicable coverage, exclusions, conditions, and limits before a booking.

Depending on the activity, appropriate insurance may include general liability, property damage, event liability, production, automobile liability, workers' compensation, equipment coverage, or other protection. VenueMagnet does not establish a universal minimum policy limit.

VenueMagnet does not provide insurance for properties, hosts, guests, attendees, invitees, vendors, contractors, equipment, or vehicles. VenueMagnet does not determine, verify, or guarantee whether a user's coverage is adequate or applies to a booking.

Hosts may require guests to provide a Certificate of Insurance before access and, where appropriate, arrange Additional Insured status for the host, property owner, property manager, or other identified parties. Hosts should disclose these requirements before accepting a booking.

A Certificate of Insurance is evidence of insurance information; it does not itself create or change coverage. Additional Insured coverage depends on the applicable policy and endorsements. Users should confirm these matters with their insurance professional.

To the extent permitted by law, VenueMagnet is not responsible for a user's failure to obtain, maintain, verify, or comply with appropriate coverage. VenueMagnet's failure to request, receive, review, or verify insurance documentation does not create an obligation to do so.

12.1 Permits, Laws & Regulations

Hosts and guests must determine and comply with requirements applicable to their properties and activities. These may include zoning, occupancy, fire safety, noise, alcohol, food service, filming, special events, business licensing, homeowners' association rules, lease restrictions, parking, street use, temporary structures, pyrotechnics, special effects, child labor, workers' compensation, and accessibility.

Responsibility depends on the property, activity, and applicable law. A host's acceptance of a booking does not establish that required permits or approvals have been obtained.

VenueMagnet does not provide legal advice or guarantee that a venue or activity complies with applicable requirements.

13. Prohibited Activities

• Illegal, deceptive, or abusive conduct
• Scraping, reverse engineering, or unauthorized data use
• Interference with site operations
• Impersonation or misrepresentation

14. Intellectual Property

• All Site content and trademarks are owned by VenueMagnet or licensors.
• No copying or redistribution without written consent.
• You retain any ownership rights you have in content you submit or approve, but you grant VenueMagnet the rights and licenses described in these Terms so we can operate, display, promote, and market listings on the Service.
• VenueMagnet respects intellectual property rights and may remove or disable access to content in response to copyright, trademark, or other rights complaints.

15. Disclaimers & Limitation of Liability

To the extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement.

VenueMagnet does not warrant the accuracy of listings, availability or condition of venues, performance of user agreements, conduct of third parties, or adequacy of insurance.

To the extent permitted by applicable law, VenueMagnet is not responsible for losses caused by venue conditions; host, guest, or vendor conduct; inaccurate user representations; cancellations or access failures attributable to third parties; injuries or property damage during venue use; or users' failure to obtain appropriate insurance.

To the extent permitted by applicable law, VenueMagnet will not be liable for indirect, incidental, special, or consequential damages arising from use of the Service.

Nothing in these Terms excludes or limits liability for VenueMagnet's fraud, willful misconduct, gross negligence, or any other liability or consumer right that applicable law does not permit to be excluded or limited. Payment of the reservation fee does not expand VenueMagnet's role into an insurer, property operator, or event supervisor.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless VenueMagnet and its officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs, including reasonable attorneys' fees, to the extent caused by:

• Your material breach of these Terms.
• Your unlawful, negligent, or intentional misconduct in connection with a listing, booking, or venue use.
• Injury or damage for which you are legally responsible.
• Your infringement of third-party rights, including through listing content you supply or authorize.
• Your misrepresentation of authority to offer or manage a venue.
• Conduct of attendees, invitees, vendors, or contractors for whom you are legally responsible.

This obligation does not apply to the extent a claim is caused by VenueMagnet's own negligence or misconduct, or where prohibited by law. VenueMagnet will provide reasonably prompt notice of a claim and reasonable cooperation.

17. Termination

VenueMagnet may suspend or terminate access at any time without notice.

18. Dispute Resolution

• Disputes will be resolved through binding arbitration or small claims court.
• Class actions are waived.

19. Severability

If any provision is unenforceable, remaining provisions remain in effect.
