Terms of Service

Effective Date: August 6, 2025

1. Acceptance of Terms

By accessing or using VenueMagnet ("the Site" or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use VenueMagnet. By using the Service, you represent that you have the legal authority to enter into this agreement.

3. Modification of Terms

VenueMagnet may modify these Terms at any time. Changes become effective upon posting. Continued use of the Service constitutes acceptance of the updated Terms.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of unauthorized account use.
• We may suspend or terminate accounts at our discretion.

5. User Content & Conduct

• You are solely responsible for content you upload, submit, or post.
• Unlawful, abusive, deceptive, or fraudulent use is prohibited.
• VenueMagnet may remove content or restrict access at its sole discretion.

6. Marketplace Role & Platform Disclaimer

• VenueMagnet is a neutral online marketplace connecting hosts and guests.
• We do not own, operate, inspect, or control any listed property.
• We are not a party to any agreement between users.
• Users are solely responsible for their interactions, agreements, and conduct.

7. Listings, Booking Requests, and Payments

7.1 Listings and Host Responsibilities

• All listing details, availability, pricing, rules, and requirements are set by the host.
• Hosts are responsible for keeping their availability and pricing accurate.
• Hosts are responsible for communicating venue rules, access instructions, and any required deposits or documentation.

7.2 Booking Requests

• Guests may submit a booking request through VenueMagnet to request specific dates and times.
• A booking request is not a confirmed booking until it is accepted by the host.
• Hosts may accept, decline, or send a modified offer through VenueMagnet.

7.3 Venue Rental Payments Are Handled Directly With the Host

• VenueMagnet does not collect the venue rental price, security deposits, or other host charges unless explicitly stated otherwise.
• After a booking request is accepted, guests and hosts are responsible for arranging all venue-related payments directly (including rental amount, deposits, and payment method).
• VenueMagnet is not responsible for payment disputes between users regarding venue rental, deposits, damages, add-ons, or additional charges.

7.4 Reservation Fee (Platform Fee)

VenueMagnet charges guests a Reservation Fee (also referred to as a "platform fee") for processing and managing booking requests through the Service.

• The Reservation Fee amount is shown to the guest before submitting payment.
• The guest’s payment method may be collected in advance, but the Reservation Fee is only charged when the host accepts the booking request.
• If the booking request is declined, expires, or is withdrawn before acceptance, the guest is not charged the Reservation Fee.
• The Reservation Fee is separate from any venue rental charges and is not a security deposit, damage deposit, or credit toward the venue rental amount unless VenueMagnet explicitly states otherwise.

7.5 Payment Processing

• Payments may be processed through third-party payment processors.
• VenueMagnet does not store full payment card details.
• You agree that VenueMagnet and its payment processors may store limited transaction data for fraud prevention, receipts, and support.

7.6 Off-Platform Transactions

• Users agree not to misuse VenueMagnet to bypass the platform after receiving contact details or booking intent through the Service.
• VenueMagnet may restrict accounts for attempts to avoid platform processes, interfere with platform operations, or engage in abusive conduct.

8. Refunds, Cancellations, and Reservation Fee Rules

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference.

8.1 Reservation Fee Refundability

Unless otherwise required by law or explicitly stated in the Refund Policy:

• The Reservation Fee is generally non-refundable once the host accepts a booking request, because it covers platform services and processing costs.
• If a booking request is not accepted (declined, expired, or withdrawn before acceptance), the guest is not charged the Reservation Fee.

8.2 Host Cancellations or Venue Unavailability

• If a host cancels after accepting, or the venue is not available as confirmed, VenueMagnet may refund the Reservation Fee as described in the Refund Policy.
• Venue rental payments made directly to the host are handled between the host and guest, and VenueMagnet is not responsible for those refunds unless explicitly stated in writing.

8.3 Disputes and Chargebacks

• If a guest initiates a chargeback or dispute relating to the Reservation Fee, VenueMagnet may suspend the account while the dispute is investigated.
• Guests and hosts agree to communicate in-platform and provide accurate details if VenueMagnet requests documentation related to a dispute.

9. Host Access & Availability

Hosts are responsible for providing accurate access instructions and ensuring availability during the booked time. VenueMagnet is not responsible for host unavailability, access failures, or property conditions.

10. Safety, Property Conditions, and Assumption of Risk

VenueMagnet does not guarantee the safety, legality, or condition of any listing. Guests assume all risks associated with use of a venue.

11. Natural Disasters & Force Majeure

VenueMagnet is not responsible for delays, cancellations, or damages caused by events beyond reasonable control, including natural disasters, severe weather, fires, floods, earthquakes, government orders, or infrastructure failures.

12. No Insurance Provided

VenueMagnet does not provide insurance coverage for hosts or guests. Users are responsible for obtaining any necessary insurance.

13. Prohibited Activities

• Illegal, deceptive, or abusive conduct
• Scraping, reverse engineering, or unauthorized data use
• Interference with site operations
• Impersonation or misrepresentation

14. Intellectual Property

• All Site content and trademarks are owned by VenueMagnet or licensors.
• No copying or redistribution without written consent.

15. Disclaimers & Limitation of Liability

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
• VenueMagnet is not liable for indirect, incidental, or consequential damages.
• Use of the Service is at your own risk.

16. Indemnification

You agree to indemnify and hold harmless VenueMagnet from claims arising out of your use of the Service or violation of these Terms.

17. Termination

VenueMagnet may suspend or terminate access at any time without notice.

18. Dispute Resolution

• Disputes will be resolved through binding arbitration or small claims court.
• Class actions are waived.

19. Severability

If any provision is unenforceable, remaining provisions remain in effect.
